Declarations, Questionnaires and Board Evaluations
Collect annual declarations of interest and related-party disclosures, run fit-and-proper and D&O questionnaires and attestations, and evaluate the board, committees, chair and peers — anonymously where it matters.
Declarations, Questionnaires and Board Evaluations
eBoard → Questionnaires runs every questionnaire the board needs, from a library aligned with Mwongozo, the CMA Code and CBK guidance (a starting point — adapt the wording to your organisation).
Starting a campaign
Choose a template — annual declaration of interests, related-party disclosure, fit-and-proper, D&O, annual attestation, confidentiality undertaking, board, committee, peer or chair evaluation, meeting effectiveness or a quick poll — who is asked (current seats, a committee or named directors) and a closing date. Directors are notified in their language; reminders go out in the last three days.
Declarations feed the conflicts register
Each interest a director declares becomes an entry in the conflicts register, matched to your contacts where the name fits. Interests a later declaration no longer lists are marked superseded. Before a meeting, conflict flags compare the agenda and papers with live declarations — by name, by meaning and, where AI is allowed, by the model — and suggest restricting an item. Nothing changes until you confirm. The chair is warned before a vote on an item with an unresolved flag.
Attestations
An attestation asks the director to confirm it's them; Papyrus keeps a fingerprint of exactly what they confirmed.
Evaluations stay anonymous
- Anonymous answers are stored with no link to the person — not even a time.
- Results are held back until enough people have answered (three by default; set under Governance → Settings), and each peer's results separately.
- Nobody rates themselves; the chair is not asked to evaluate the chair.
- Fit-and-proper, D&O, peer and chair results need permission to see sensitive director information.
Governance reports show the trend of board, committee and meeting evaluations as an overall score — never results about individuals.
